WEBSITE TERMS OF USE

These Website Terms of Use constitute a legally binding agreement between you and Northstar Construction, referred to in these Terms as “Northstar,” “we,” “us,” or “our.”

These Terms govern your access to and use of:

  • Any webpages, forms, photographs, videos, graphics, documents, applications, or other content made available through those websites

Collectively, these websites and related materials are referred to as the “Site.”

Northstar Construction is located in Harris County, Texas.

1. Acceptance of These Terms

By accessing, browsing, viewing, submitting information through, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Site and must immediately discontinue your use of it.

You represent that you are at least 18 years old and legally capable of entering into a binding agreement. If you access or use the Site on behalf of a company, property owner, organization, or other person, you represent that you have authority to bind that person or entity to these Terms.

2. Website Information Only

The Site provides general information about Northstar Construction, home remodeling, general contracting, kitchens, bathrooms, roofing, room additions, renovations, repairs, design concepts, materials, and related services.

Site content is provided for general informational and promotional purposes only. It is not intended to constitute:

  • A construction estimate or binding price
  • A contractual offer
  • A promise to perform work
  • An architectural or engineering opinion
  • Legal, financial, insurance, tax, or permitting advice
  • A warranty or guarantee
  • A representation that a particular project, design, material, or service is appropriate for your property

Every property and construction project is different. Actual project requirements, costs, schedules, materials, permits, structural conditions, code requirements, and results may vary.

You should not make construction, financial, legal, safety, or property decisions based solely on information appearing on the Site.

3. No Construction Contract Created

Your use of the Site, submission of a contact form, request for an estimate, telephone call, text message, email, or other communication does not create a construction contract, contractor-client relationship, fiduciary relationship, partnership, joint venture, or other professional relationship.

Northstar is not obligated to accept or perform any project unless Northstar and the customer enter into a separate written agreement signed or electronically accepted by authorized parties.

Any construction, remodeling, repair, roofing, design, or related services will be governed by the applicable written estimate, proposal, contract, change order, warranty, financing agreement, or other project document.

If these Terms conflict with a signed project contract, the signed project contract will control regarding the construction services addressed by that contract.

4. Estimates, Prices, and Project Information

Information presented on the Site concerning project types, materials, pricing, timelines, financing, availability, or expected results is illustrative and may change without notice.

No price, cost range, project duration, material description, or service description appearing on the Site constitutes a binding estimate or guarantee.

A final price or schedule may depend on factors including:

  • Property measurements and existing conditions
  • Concealed or previously unknown damage
  • Structural conditions
  • Building-code requirements
  • Permit and inspection requirements
  • Engineering or architectural requirements
  • Material and labor availability
  • Customer selections
  • Change orders
  • Weather
  • Supplier delays
  • Utility conditions
  • Homeowners’ association requirements
  • Conditions outside Northstar’s reasonable control

Only an authorized written proposal or contract may establish binding project pricing or obligations.

5. Photographs, Renderings, and Project Examples

Photographs, illustrations, floor plans, diagrams, renderings, artificial-intelligence-assisted images, before-and-after images, and project examples appearing on the Site are provided for inspiration and general illustration.

Images may depict:

  • Completed Northstar projects
  • Conceptual designs
  • Stock photography
  • Manufacturer or supplier materials
  • Digitally altered or enhanced images
  • Computer-generated or artificial-intelligence-assisted visualizations
  • Projects completed by other contractors and used with authorization

Images do not guarantee that identical materials, layouts, products, results, or finishes are available or suitable for your property.

Colors, dimensions, textures, scale, lighting, and proportions may appear differently on a screen than they do in person.

6. Limited Permission to Use the Site

Subject to your compliance with these Terms, Northstar grants you a limited, personal, nonexclusive, nontransferable, revocable permission to access and view the Site solely for lawful, personal, and noncommercial purposes, including evaluating whether you may wish to contact Northstar about its services.

This permission does not transfer ownership of any Site content or intellectual property to you.

Northstar may suspend or revoke this permission at any time.

7. Ownership and Intellectual Property

The Site and its contents are owned by Northstar, licensed to Northstar, or used by Northstar with permission.

Protected materials may include:

  • The Northstar name and logo
  • Trade names, trademarks, and service marks
  • Website design and layout
  • Written content
  • Advertising copy
  • Photographs and videos
  • Renderings and graphics
  • Project descriptions
  • Plans, diagrams, and illustrations
  • Icons and visual elements
  • Databases and compilations
  • Software
  • Source code and object code
  • HTML, CSS, JavaScript, scripts, and programming
  • Website structure, navigation, and functionality
  • Downloadable documents
  • Marketing methods and proprietary business materials

These materials may be protected by copyright, trademark, trade-dress, contract, unfair-competition, and other intellectual-property laws.

Except where Northstar gives prior written permission, you may not copy, reproduce, download, republish, distribute, display, modify, translate, transmit, sell, license, exploit, or create derivative works from any portion of the Site.

8. Prohibited Intellectual-Property Uses

You agree that you will not, directly or indirectly:

  1. Steal, copy, reproduce, or misappropriate Site content, designs, code, photographs, text, graphics, logos, or other intellectual property.
  2. Copy Northstar’s Site content for use on another contractor’s, designer’s, advertiser’s, or competitor’s website.
  3. Remove, conceal, or alter any copyright, trademark, attribution, ownership, or proprietary notice.
  4. Use the Northstar name, logo, branding, photographs, or content in a manner that implies sponsorship, endorsement, employment, partnership, or affiliation without written authorization.
  5. Frame, mirror, clone, reproduce, or create a substantially similar version of the Site.
  6. Modify, translate, reverse engineer, decompile, disassemble, decode, or attempt to derive nonpublic source code, algorithms, security methods, or internal website functions.
  7. Reproduce or use Site content to create advertisements, portfolios, social-media posts, sales materials, databases, training materials, or commercial products without permission.
  8. Use Site content or code to train, develop, improve, or operate an artificial-intelligence or machine-learning system without Northstar’s written authorization.
  9. Register or use a domain name, business name, username, advertisement, keyword, or social-media account that is confusingly similar to Northstar’s name or branding.

Unauthorized use may violate civil and criminal laws and may result in legal action.

9. Prohibited Website Conduct

You agree not to damage, disrupt, interfere with, compromise, misuse, or attempt to gain unauthorized access to the Site.

You may not:

  • Upload, transmit, introduce, or distribute malware, viruses, ransomware, spyware, malicious code, or harmful files
  • Attempt to disable, overload, flood, crash, or impair the Site
  • Conduct a denial-of-service or distributed-denial-of-service attack
  • Probe, scan, test, or exploit a vulnerability without prior written authorization
  • Circumvent authentication, access controls, firewalls, rate limits, or security measures
  • Access administrative pages, servers, databases, accounts, directories, or systems without authorization
  • Intercept communications or data
  • Attempt to obtain passwords, credentials, tokens, or private information
  • Use automated bots, crawlers, scrapers, spiders, data-mining programs, or similar tools without written permission
  • Submit false, fraudulent, misleading, harassing, abusive, or unlawful information
  • Impersonate another person or misrepresent your identity or authority
  • Use the Site to send spam, advertisements, solicitations, or unwanted messages
  • Use the Site to stalk, threaten, harass, defame, or harm another person
  • Interfere with another visitor’s ability to use the Site
  • Use the Site in violation of any law, regulation, court order, or third-party right
  • Assist, encourage, direct, or enable anyone else to engage in prohibited conduct

You may not perform security research, penetration testing, automated testing, or vulnerability scanning against the Site without Northstar’s prior written authorization.

10. Contact Forms and Information You Submit

You agree to provide accurate, current, and complete information when using a contact form, consultation form, employment form, or other Site feature.

You may not submit:

  • Information you do not have authority to provide
  • False or fraudulent project inquiries
  • Confidential information belonging to another person
  • Unlawful, defamatory, threatening, or abusive content
  • Malicious code or harmful files
  • Social Security numbers
  • Passwords or login credentials
  • Complete payment-card or bank-account information through a general contact form
  • Sensitive personal information that Northstar has not requested

You grant Northstar permission to use information you voluntarily submit for the purpose of responding to your inquiry, evaluating a project, preparing an estimate, communicating with you, protecting Northstar’s rights, and providing requested services.

Personal information will be handled as described in the Northstar Privacy Policy.

11. Unsolicited Ideas and Suggestions

Northstar does not agree to keep unsolicited ideas, suggestions, designs, marketing concepts, business proposals, or other unsolicited submissions confidential unless Northstar expressly agrees otherwise in writing.

By submitting unsolicited feedback or suggestions, you grant Northstar a nonexclusive, worldwide, royalty-free, transferable, sublicensable, perpetual license to use, modify, reproduce, and incorporate the feedback into its business, services, marketing, or Site without compensation or attribution.

This provision does not give Northstar ownership of personal information or customer-owned project plans submitted solely for evaluation of a requested project.

12. Communications

When you contact Northstar, you authorize Northstar to respond using the contact information you provide.

Communications may include telephone calls, emails, text messages, appointment confirmations, estimate information, project communications, and customer-service messages.

Consent to receive marketing communications is not a condition of purchasing construction services. You may opt out of marketing emails or text messages using the instructions included in the applicable message.

Electronic communications may not always be secure, uninterrupted, or error-free. Do not send highly sensitive information through ordinary email, text message, or an unsecured contact form.

13. Third-Party Websites and Services

The Site may contain links to third-party websites, financing providers, payment processors, manufacturers, suppliers, social-media platforms, map services, review platforms, or other independent services.

Northstar does not control and is not responsible for third-party websites or services, including their:

  • Content
  • Availability
  • Accuracy
  • Security
  • Products
  • Services
  • Prices
  • Representations
  • Privacy practices
  • Terms and conditions

A link does not necessarily mean that Northstar endorses, sponsors, controls, or guarantees the third party.

You access third-party websites and services at your own risk and subject to their separate terms.

14. Privacy

Northstar’s collection and use of personal information is addressed in the Northstar Construction Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference. If there is a conflict concerning personal-information practices, the Privacy Policy will control to the extent of that conflict.

15. Website Availability and Changes

Northstar does not guarantee that the Site will always be available, secure, uninterrupted, complete, current, or error-free.

Northstar may, without notice:

  • Modify Site content
  • Correct errors
  • Remove content
  • Add or discontinue features
  • Restrict access
  • Suspend the Site
  • Change domain names
  • Perform maintenance
  • Terminate the Site

Northstar is not liable for any interruption, delay, inability to access the Site, loss of data, or discontinued feature.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL INFORMATION, CONTENT, FEATURES, AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

NORTHSTAR DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES RELATING TO THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

Northstar does not warrant that:

  • The Site will meet your expectations
  • Site content will be accurate or complete
  • The Site will be continuously available
  • Errors will be corrected immediately
  • The Site will be free from viruses or harmful components
  • Information transmitted through the Site will be secure
  • Project photographs or renderings can be duplicated at your property
  • Products or materials shown will remain available
  • Use of the Site will produce any particular result

Some laws do not allow the exclusion of certain warranties. Any disclaimer applies only to the extent permitted by applicable law.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NORTHSTAR AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, CONSULTANTS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE ARISING FROM OR RELATING TO:

  • YOUR ACCESS TO OR USE OF THE SITE
  • YOUR INABILITY TO ACCESS OR USE THE SITE
  • YOUR RELIANCE ON SITE CONTENT
  • ERRORS, OMISSIONS, OR INACCURACIES
  • WEBSITE INTERRUPTIONS OR DELAYS
  • LOSS OR CORRUPTION OF DATA
  • MALWARE, VIRUSES, OR SECURITY INCIDENTS
  • THIRD-PARTY LINKS OR SERVICES
  • UNAUTHORIZED ACCESS TO COMMUNICATIONS
  • CONTENT SUBMITTED BY ANOTHER PERSON
  • ANY DECISION MADE BASED ON WEBSITE INFORMATION

THIS EXCLUSION APPLIES TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, AND OTHER DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF USE, PROPERTY LOSS, AND BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF NORTHSTAR WAS ADVISED THAT DAMAGES WERE POSSIBLE.

These limitations apply only to the Site and Site-related activities. They do not replace or modify obligations expressly stated in a separate signed construction contract.

Nothing in these Terms excludes liability that cannot legally be excluded.

18. Your Sole and Exclusive Website Remedy

TO THE FULLEST EXTENT PERMITTED BY LAW, IF YOU ARE DISSATISFIED WITH THE SITE, ITS CONTENT, THESE TERMS, NORTHSTAR’S WEBSITE PRACTICES, OR ANY SITE-RELATED SERVICE OR FEATURE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP ACCESSING AND USING THE SITE.

You agree that you will not be entitled to monetary damages, injunctive relief requiring continued operation or modification of the Site, or any other Site-related remedy except where applicable law provides a right that cannot lawfully be waived.

This sole-remedy provision applies to claims arising from the Site. It does not eliminate remedies expressly provided in a separate written construction contract or remedies that applicable law does not permit the parties to waive.

19. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Northstar and its owners, members, managers, officers, employees, contractors, subcontractors, consultants, agents, licensors, service providers, and representatives from claims, damages, judgments, losses, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Your violation of these Terms
  • Your misuse of the Site
  • Your infringement of intellectual-property or privacy rights
  • Information or content you submit
  • Your unlawful conduct
  • Your interference with the Site
  • Your unauthorized access to systems or information
  • Conduct performed through a device, account, network, or connection under your control

Northstar may assume control of the defense of a claim subject to indemnification. You agree to cooperate with that defense.

20. Injunctive and Equitable Relief

You acknowledge that unauthorized use of Northstar’s intellectual property, code, systems, confidential information, or security infrastructure may cause harm that cannot be adequately remedied through monetary damages alone.

Northstar may seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable relief to prevent or stop unauthorized copying, hacking, misuse, interference, or infringement.

This section does not limit any other remedy available to Northstar.

21. Suspension and Termination

Northstar may suspend, restrict, block, or terminate your access to the Site without notice if Northstar reasonably believes that you:

  • Violated these Terms
  • Threatened Site security
  • Misused Site content
  • Infringed intellectual-property rights
  • Submitted fraudulent or harmful information
  • Engaged in unlawful conduct
  • Created risk or potential liability for Northstar or another person

Provisions concerning ownership, intellectual property, prohibited conduct, disclaimers, liability limitations, indemnification, governing law, and dispute resolution will survive termination.

22. Reporting Security or Intellectual-Property Concerns

Do not publicly disclose a suspected Site vulnerability or attempt to exploit it.

Reports concerning suspected security problems, unauthorized use, copyright infringement, trademark misuse, or other intellectual-property concerns should be sent to:

A report should identify the affected material, explain the concern, provide the reporter’s contact information, and include supporting documentation where available.

23. Changes to These Terms

Northstar may update these Terms at any time.

Updated Terms will be posted on the Site with a revised “Last Updated” date. Changes become effective when posted unless Northstar states otherwise.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms. If you do not agree to a revision, your sole remedy is to stop using the Site.

24. Governing Law

These Terms and any dispute arising from the Site will be governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

25. Exclusive Venue

To the fullest extent permitted by law, any lawsuit or judicial proceeding arising from or relating to the Site or these Terms must be brought exclusively in a state court of competent jurisdiction located in Harris County, Texas, or, where federal jurisdiction exists, in the United States District Court serving Harris County, Texas.

You consent to the personal jurisdiction of those courts and waive objections based on venue or inconvenient forum.

This provision does not prevent Northstar from seeking emergency or injunctive relief in another jurisdiction when reasonably necessary to protect its intellectual property, systems, security, or confidential information.

26. Time Limit for Site-Related Claims

To the fullest extent permitted by law, any claim arising from or relating to the Site or these Terms must be filed within one year after the event giving rise to the claim.

A claim not filed within that period is permanently barred.

This contractual period does not apply where applicable law prohibits shortening the legally established limitation period.

27. Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law.

The remaining provisions will remain in effect.

If part of the liability limitation or sole-remedy provision is unenforceable, the provision will be modified only to the minimum extent necessary rather than being disregarded entirely.

28. No Waiver

Northstar’s failure to enforce any provision of these Terms does not waive that provision or Northstar’s right to enforce it later.

A waiver is effective only when made in writing by an authorized Northstar representative.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without Northstar’s prior written consent.

Northstar may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of ownership, or transfer of website operations.

30. No Third-Party Beneficiaries

These Terms are for the benefit of you and Northstar. They do not create enforceable rights for any other person except the Northstar parties expressly protected by the disclaimer, limitation-of-liability, and indemnification provisions.

31. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement concerning your use of the Site.

They supersede prior or contemporaneous statements, communications, or understandings regarding Site use.

These Terms do not replace any separate written construction, remodeling, employment, subcontractor, supplier, financing, or service agreement.
